The Issuer
The Issuer was incorporated under the name Kuwait Energy Limited on 12 October 2010 under the Jersey Companies
Law as a private company limited by shares and registered in Jersey with number 106699. On 12 September 2011, it was
re-registered as a public limited company and changed its name to Kuwait Energy plc. The registered office of the Issuer
is at Queensway House, Hilgrove Street, St. Helier, Jersey JE1 1ES (telephone number +44 (0)1534 281 837).

To enhance the Issuer’s corporate governance, the Issuer plans to appoint at least two additional Independent Non-
Executive Directors and make any other necessary changes to the composition of the Board, such that the Board will
contain at least a majority of independent directors going forward.
Dr. Manssour Aboukhamseen, Chairman
Dr. Manssour Aboukhamseen is a successful business entrepreneur and founder of several successful business
enterprises in Kuwait. He has over 25 years of experience in the oil and gas industry in Kuwait Oil Company (“
KOC
”),
Zahra Group and Kuwait Energy. He has a Ph.D in Modern History from Berkeley University, California, US. He is the
Executive Chairman of the Board, a position he has held since June 2006, and oversees the internal audit function of the
Issuer. He is a member of the nomination committee.
Sara Akbar, Chief Executive Officer
Sara Akbar is a renowned professional and personality in the oil and gas industry, both in Kuwait and internationally.
She has over 30 years of experience in the oil and gas industry having worked in several challenging positions in KOC
and KUFPEC. She has a B.Sc in Chemical Engineering from Kuwait University. Since October 2005, Sara has been the
Chief Executive Officer of Kuwait Energy.
Roger Phillips, Chief Financial Officer
Roger Phillips has over 30 years of experience in the oil and gas industry primarily in international, upstream finance
roles. He has a degree in Civil Engineering and is qualified as a Chartered Accountant. He has worked for a number of
multinational companies, including PriceWaterhouse Coopers, ExxonMobil and Amerada Hess, with roles involving
global responsibility for finance, IT and procurement. Mr. Phillips was with Amerada Hess for nearly twenty years,
where he served as Vice President and Director in London and in New York. He has had a variety of finance and
commercial roles covering Europe, Asia and the United States. Mr. Phillips was also involved in various acquisitions and
disposals during this time. Before joining Kuwait Energy, Mr. Phillips was Finance Director at Regal Petroleum Plc.
Rachel English, Independent Non-executive Director
Rachel English has over 30 years of experience working for international, blue-chip energy companies, including BG
Group and Shell, with responsibilities spanning finance, strategy, business development and mergers and acquisitions.
She is currently non-executive director of African Barrick Gold plc, Global Carbon Capture and Storage Institute Ltd, a
member of the Audit Committee of the UK Department for International Development, and a Director of Helios Social
