LEGAL MATTERS
Certain legal matters in connection with the Offering will be passed upon for the Group by Allen & Overy LLP as to
matters of US federal, New York state and English law, by Mourant Ozannes as to matters of Jersey law, by Maples and
Calder as to matters of British Virgin Islands law, by Ibrachy & Partners as to matters of Egyptian law and by Bader
Saud Al-Bader & Partners as to matters of Kuwaiti law. Certain legal matters in connection with the Offering will be
passed upon for the Initial Purchaser by Herbert Smith Freehills as to matters of US federal, New York state and English
law.
INDEPENDENT AUDITORS
The consolidated financial statements of the Group, as at and for each of the years ended 31 December 2011,
31 December 2012 and 31 December 2013 included in this Offering Memorandum, have been audited by Deloitte LLP,
independent auditors, as stated in their reports appearing herein.
Deloitte LLP is a member of the Institute of Chartered Accountants of England and Wales.
